1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Fazinflo ("Company," "we," "us," or "our"), the operator of FLOWDESK ("Service"), accessible at https://flowdesk-app.com.

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. Your continued use of the Service constitutes acceptance of any updates to these Terms.

2. Service Description

FLOWDESK is an AI-powered marketing automation platform provided by Fazinflo. The Service enables businesses and marketing professionals to:

• Lead Scraping: Collect Instagram leads via four scraper types — hashtag scraper (collects profiles who engage with a hashtag), competitor scraper (followers/following of a target account), comment scraper (users who commented on a post), and profile scraper.
• AI Lead Scoring: Score scraped leads (0–100) using Anthropic Claude AI to identify high-quality prospects based on bio, engagement, and profile signals.
• Hunter Mode DM Automation: Send and manage automated direct message campaigns to leads via your connected Instagram account using the FlowDesk Chrome extension.
• Script Generator: Generate AI-powered personalised outreach scripts using Anthropic Claude API for use in DM campaigns.
• Content Deck: A workspace for storing, organising, and managing social media content, captions, and creative assets.
• Analytics & Reporting: Track campaign performance, lead conversion rates, message engagement, and scraper job statistics.
• Chrome Extension: A browser extension for Chrome that enables on-page lead scraping and DM automation on Instagram.com.

The Service integrates with third-party platforms including Instagram (Meta), Google, Supabase, Razorpay, and Anthropic. Use of these integrations is subject to the respective third-party terms of service.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding contracts under applicable law.
• Use the Service for legitimate business purposes only. The Service is not intended for personal, non-commercial use.
• Not be a resident of a jurisdiction where using the Service is prohibited by law.
• Represent that any information you provide during registration is accurate, current, and complete.

By using the Service, you represent and warrant that you meet all of the foregoing eligibility requirements. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials, including your password and any API keys.
• All activities that occur under your account, whether or not authorised by you.
• Immediately notifying us at support@flowdesk-app.com of any unauthorised use or security breach.
• Ensuring that your account information remains accurate and up to date.
• Not sharing your account credentials with third parties or allowing multiple users to access a single account (unless permitted under your subscription plan).
• Any content uploaded, published, or transmitted through your account.

We reserve the right to terminate or suspend accounts that we reasonably believe have been compromised, are being misused, or are in violation of these Terms.

5. Acceptable Use Policy

You agree to use FLOWDESK only for lawful purposes and in accordance with these Terms. You expressly agree not to use the Service to:

• Spam or Unsolicited Communications: Send mass unsolicited messages, bulk DMs that violate recipients' expectations, or any communications that constitute spam under applicable law (including CAN-SPAM, GDPR, and CASL).
• Platform Violations: Violate, circumvent, or manipulate the terms of service, community standards, or usage policies of Instagram, Meta, or any other integrated platform.
• Deceptive Practices: Impersonate any person or entity, make false claims about your identity, affiliation, or business, or engage in misleading marketing practices.
• Harassment: Harass, abuse, threaten, intimidate, or harm any individual or group through automated or manual outreach.
• Illegal Activities: Promote, facilitate, or engage in any activity that is illegal under applicable law, including fraud, phishing, money laundering, or the promotion of illegal goods and services.
• Malware or Security Attacks: Transmit viruses, malware, or other harmful code; attempt to gain unauthorised access to any system; or conduct denial-of-service attacks.
• Rate Limit Evasion: Circumvent or attempt to circumvent API rate limits, usage quotas, or access restrictions imposed by FLOWDESK or third-party platforms.
• Scraping: Use automated means to extract, scrape, or harvest data from the Service or connected platforms beyond what is expressly permitted.
• Resale Without Authorisation: Resell, sublicense, or commercialise access to the Service without our written consent.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and we reserve the right to report violations to relevant authorities or platform operators.

6. Instagram & Meta Integration

By connecting your Instagram account to FLOWDESK, you acknowledge and agree that:

• You must comply with Meta's Platform Terms (including Section 3.9 regarding privacy) at all times.
• You must comply with Instagram's Community Guidelines and Terms of Use.
• You are solely responsible for ensuring your outreach campaigns comply with Meta's Messaging and Spam policies.
• FLOWDESK accesses your Instagram account data (including messages, followers, and profile information) solely to provide the Service, and only with your explicit authorisation.
• You grant us permission to access and use your Instagram account data as necessary to operate the Service on your behalf.
• You will not use FLOWDESK to exceed Instagram's rate limits, abuse the Direct Messaging system, or engage in behaviour that could result in your Instagram account being restricted or banned.
• We are not responsible for any action taken by Meta or Instagram against your account, including but not limited to account suspension, restricted messaging, or removal of API access.
• Meta may change its API access policies, which could affect the availability of certain FLOWDESK features. We will make reasonable efforts to notify users of significant changes but cannot guarantee uninterrupted Instagram functionality.

Data Deletion: You may revoke FLOWDESK's access to your Instagram account at any time by disconnecting the integration within the Service settings, or through your Instagram/Facebook account's "Apps and Websites" security settings. Upon disconnection, we will delete your Instagram access tokens within 30 days. To request immediate deletion of all Instagram data, contact support@flowdesk-app.com.

7. Chrome Extension Terms

The FlowDesk Chrome Extension ("Extension") is a separately installed browser extension that operates on Instagram pages. By installing and using the Extension, you agree to these additional terms:

• The Extension operates using your active Instagram browser session. You must be logged in to Instagram for the Extension to function. You are responsible for keeping your Instagram account secure.
• The Extension collects publicly visible profile data (usernames, display names, bios) from Instagram pages you navigate to while a scraping job is active. This data is transmitted to your FlowDesk account and stored on our servers.
• You must only scrape profiles that are publicly visible or that you have a legitimate business reason to access. Scraping private accounts or engaging in bulk scraping that violates Instagram's rate limits is prohibited.
• DM automation via the Extension sends messages through your Instagram account. You are solely responsible for the content of messages sent and for ensuring the volume and nature of messages complies with Instagram's policies.
• We reserve the right to limit, suspend, or modify Extension functionality at any time, including in response to changes in Instagram's platform or Meta's API policies.
• The Extension is provided "as is." Instagram frequently updates its interface; certain Extension features may temporarily break following Instagram updates. We will make reasonable efforts to restore functionality promptly.
• You must not reverse-engineer, decompile, or modify the Extension or use it to build competing products.

7. Payment Terms & Subscriptions

FLOWDESK offers subscription-based access to the Service. By subscribing, you agree to the following terms:

Plans & Pricing

INR pricing includes 18% GST as required by Indian tax law. USD pricing excludes local taxes. Launch pricing applies; subject to change with 30 days' notice.

Credits System (Agency Plan)

Agency Plan subscribers receive a monthly credits allocation. Credits are consumed as follows:

• Lead Score Credits: 1 credit consumed per lead scored by the AI Lead Scorer.
• Script Credits: 1 credit consumed per AI script generated by the Script Generator.
• Credits do not roll over to the next billing cycle unless explicitly stated.
• Additional credits may be purchased as add-ons from the Billing page. Credit add-ons are non-refundable.

Payment Processing

• Payments are processed by Razorpay (for INR transactions) or other supported payment gateways. By paying, you agree to Razorpay's Terms of Service.
• FlowDesk does not store your card number, CVV, or full card details. Payment data is handled entirely by Razorpay's PCI-compliant infrastructure.
• Subscription fees are billed in advance on a monthly basis.
• Failed payments may result in suspension of your account until the outstanding balance is resolved.

Cancellation & Refunds

• You may cancel your subscription at any time through your account settings or by contacting support@flowdesk-app.com.
• Cancellation takes effect at the end of your current billing period. You retain access to Agency features until that date.
• We do not provide refunds for partial months or unused credits, except as required by applicable consumer protection law.
• Credit add-on purchases are non-refundable once processed.

Price Changes

We reserve the right to modify subscription pricing with at least 30 days' notice. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

9. Data Usage & Storage

All data generated through your use of FLOWDESK is stored securely using Supabase, a cloud database platform with encryption at rest and in transit. By using the Service, you consent to:

• Storage of your personal data, campaign data, conversation histories, and Instagram account data on Supabase infrastructure.
• Processing of your data by AI services (Anthropic Claude API) to provide AI-powered automation features.
• Transmission of your data to Meta's servers as part of the Instagram integration.

We implement industry-standard security measures including row-level security (RLS), encrypted API communications, and access controls. However, no method of transmission over the Internet is 100% secure. See our Privacy Policy for full details on data handling.

10. Usage Limits & Quotas

Use of the FLOWDESK Service is subject to usage limits that vary by subscription plan:

Exceeding usage limits may result in temporary suspension of affected features until the next billing cycle, or a prompt to purchase additional credits. We will make reasonable efforts to notify you when you approach limits.

You agree not to attempt to circumvent these limits through technical means, including creating multiple accounts, automated workarounds, or bulk scraping beyond your plan allowance.

11. Intellectual Property

Our Intellectual Property

The Service, including its software, design, user interface, text, graphics, logos, and all underlying technology, is owned by or licensed to Fazinflo and is protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal business purposes in accordance with these Terms.

Your Content

You retain ownership of all content, data, and materials you upload or create within the Service ("User Content"). By using the Service, you grant Fazinflo a worldwide, royalty-free, non-exclusive licence to use, store, and process your User Content solely to provide and improve the Service.

Feedback

If you provide suggestions, feedback, or ideas regarding the Service, you grant us an irrevocable, perpetual, royalty-free right to use such feedback for any purpose without obligation to you.

12. Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Fazinflo disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times.
• Results obtained from the Service (including AI-generated content) will be accurate, complete, or suitable for your purposes.
• Any defects in the Service will be corrected.
• The Service will be compatible with all third-party platforms, browsers, or devices.

AI-generated content produced by FLOWDESK is provided for informational purposes only. You are solely responsible for reviewing, approving, and taking responsibility for any content sent to prospects or leads through the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FAZINFLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes but is not limited to loss of profits, loss of data, loss of business opportunity, loss of goodwill, or service interruption, even if we have been advised of the possibility of such damages.

In no event shall Fazinflo's total cumulative liability to you exceed the greater of: (a) the amount you paid to us in the twelve (12) months preceding the claim; or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such cases, the limitations above apply to the fullest extent permitted by applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Fazinflo and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property, privacy, or platform terms.
• Your User Content or outreach campaigns.
• Your violation of any applicable law or regulation.

15. Termination

Termination by You

You may terminate your account at any time by cancelling your subscription and requesting account deletion via support@flowdesk-app.com. Upon termination, your right to use the Service ceases immediately.

Termination by Us

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, if we reasonably determine that:

• You have violated these Terms or our Acceptable Use Policy.
• Your account is involved in fraudulent, illegal, or harmful activity.
• Your use of the Service endangers the security or integrity of our systems or other users.
• You have failed to pay applicable subscription fees.

Effect of Termination

Upon termination, your account data will be retained for 30 days to allow for data export, after which it will be permanently deleted. We are not liable for any loss of data resulting from termination. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, indemnification, and limitations of liability.

16. Dispute Resolution

Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@flowdesk-app.com and attempt to resolve the dispute informally. We will make good faith efforts to resolve the dispute within 30 days.

Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered under applicable arbitration rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

Class Action Waiver

To the extent permitted by law, you waive the right to participate in class action lawsuits or class-wide arbitration against Fazinflo.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes not resolved by arbitration shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are located in the European Union, you may also be entitled to bring claims before the courts of your country of residence under applicable EU consumer protection law.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Sending an email to your registered email address at least 14 days before the changes take effect.
• Displaying a notice within the Service.
• Updating the "Last updated" date at the top of this page.

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
